All content, software, technology, designs, graphics, text, images, and other materials on our website and in our services are the exclusive property of datanovaex or our licensors and are protected by copyright, trademark, and other intellectual property laws. Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount paid by you to datanovaex in the twelve months preceding the claim. This limitation applies regardless of the legal theory upon which the claim is based.
You agree to indemnify, defend, and hold harmless datanovaex, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.
These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Vienna, Austria. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Either party may terminate service agreements with appropriate notice as specified in the relevant service contract. We may immediately terminate or suspend your access to our services if you breach these Terms or engage in any conduct that we reasonably believe is harmful to our business or other users. Upon termination, your right to use our services will cease immediately, though certain provisions of these Terms will survive termination, including those relating to intellectual property, limitation of liability, and governing law.
Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government regulations, or technical failures beyond our control.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
